K Auction announced on the 5th that it has decided to cancel all of its treasury shares within one month. The shares to be canceled consist of 1,340,920 common shares, accounting for approximately 4.92% of the total issued shares. The company intends to boost per-share value and provide direct benefits to shareholders by going beyond a simple share buyback to actually reduce the number of shares in circulation through cancellation.
The largest shareholder also demonstrated a commitment to responsible management. In line with the company’s decision to cancel treasury shares, the largest shareholder pledged not to dispose of up to approximately 750,000 shares—which were purchased before or after the acquisition of treasury shares, or are scheduled to be acquired in the future—until January 2027. This is interpreted as a message demonstrating confidence in the company’s growth despite the uncertain market environment, while also protecting minority shareholders by addressing concerns over potential selling pressure (overhang).
A company official stated, “This decision to cancel all treasury shares and the largest shareholder’s voluntary commitment to restrict sales reflect our firm management philosophy of prioritizing shareholder value above all else,” adding, “We will continue to enhance corporate value through shared growth with our shareholders, as well as by strengthening our competitiveness in our core business of art auctions and achieving a turnaround in performance.”
