The purchase price is 9,969,790,000 won. This amount represents 20.60% of ADBIOTECH Co.,Ltd.’s total assets of 48,407,430,000 won and 29.25% of its equity of 34,084,530,000 won.
Following the acquisition, ADBIOTECH Co.,Ltd. will hold 181,269 shares of Onhill, representing a 12.28% stake. Onhill is a company engaged in the pharmaceutical and veterinary medicine businesses, and there is an overlap in personnel between ADBIOTECH Co.,Ltd. and Onhill.
The counterparties to the transaction are Hiworks and one other party. The transaction amount will be paid in cash using available funds and is scheduled to be paid in full on the same day following the signing of the contract.
The scheduled date of transfer is today.
