[Edaily Reporter Shin Ha-yeon ] Macquarie Korea Opportunities Private Investment Limited Partnership No. 6, managed by Macquarie Asset Management, acquired 9,805,505 shares (73.1% of the total issued shares) of Gavia, a KOSDAQ-listed company, through the special purpose company(SPC) DCK Investment, announced on the 20th that it will conduct a tender offer for 9,805,505 common shares (73.1% of the total issued shares) of KOSDAQ-listed company GABIA, Inc. at 48,000 won per share.
The tender offer period runs from the 20th through September 17, and the scheduled settlement date is September 21. The minimum intended purchase quantity is 3,267,629 shares (24.3%). If the number of shares tendered falls short of the minimum quantity, the tender offer will not proceed. If the number of shares tendered meets or exceeds the minimum quantity, all tendered shares will be purchased.
The tender offeror plans to voluntarily delist GABIA, Inc. through this tender offer and subsequently incorporate it as a wholly-owned subsidiary. Previously, the company also signed a share purchase agreement to acquire 3,270,248 shares (24.4%) held by CEO Kim Hong-guk, the largest shareholder, and two related parties, at 48,000 won per share.
