GABIA, Inc. Signs Share Transfer Agreement Resulting in a Change of Largest Shareholder

[Edaily Reporter Shin Ha-yeon ] GABIA, Inc.(079940)announced on the 20th that it has entered into a share purchase agreement to transfer 3,270,248 common shares (24.37%) held by CEO Kim Hong-guk, the company’s largest shareholder, and two other individuals to DCK Investment. The total transaction amount is 156,971,900,000 won, with a purchase price of 48,000 won per share.
The transaction is subject to the precondition that DCK Investment acquires at least approximately 24.3% of the issued shares through a tender offer.
The date of payment and share transfer (closing) is the 10th business day following the date on which all closing conditions specified in the share purchase agreement are satisfied. Upon completion of the transaction, DCK Investment is scheduled to become the largest shareholder on October 8.
