JK Synapse announced on the 20th that it has decided to conduct a third-party private placement worth 3 billion won, with Hyulim ROBOT Co.,Ltd.—a robotics specialist—as the subscriber. Through this capital increase, Hyulim ROBOT Co.,Ltd. is set to become the company’s largest shareholder.
The issue price for the new shares is 968 won per share, and the number of shares to be issued is 3,099,173. Once payment is completed on the 28th, the total number of issued shares will increase from the current 11,260,098 to 14,359,271.
Upon completion of the subscription, Hyulim ROBOT Co.,Ltd. will secure a 21.58% stake, becoming the sole largest shareholder. The stake held by EMRO., Incorporated, the previous largest shareholder, will decrease from 13.59% to 10.66%.
This capital increase is considered significant not only for strengthening the company’s capital base but also for meeting the requirements for maintaining its KOSDAQ listing. As the market capitalization expands through the issuance of new shares, it is expected to alleviate concerns raised in the market regarding the company’s potential designation as a “monitored stock.”
The funds raised are scheduled to be used to improve the company’s financial structure. The company anticipates that this will alleviate the burden associated with its unconverted convertible bonds (CBs) and strengthen the foundation for responsible management through Hyulim ROBOT Co.,Ltd.’s participation.
A company official stated, “Through this capital increase, we will restore market confidence and secure financial stability,” adding, “We will enhance shareholder value by improving our business structure and delivering results.”
