According to the company, all agenda items at the extraordinary general meeting held that day—including the appointment of directors and auditors and amendments to the articles of incorporation—were approved. The company explained that each item received the approval of approximately 52% of the total issued shares and more than 80% of the shareholders present. Previously, both the preliminary injunction filed by Lee Soo-min’s side seeking confirmation of shareholder status and the preliminary injunction filed by some minority shareholders seeking to prohibit the convening of the extraordinary general meeting were dismissed.
At this extraordinary general meeting, agenda items related to the procedures for resuming trading—including the reorganization of the board of directors and the audit committee, revisions to the articles of incorporation, and the strengthening of internal control systems—were addressed. The company explained that it has now secured the foundation to proceed with responding to the re-audit, improving internal controls, and preparing for the Korea Exchange’s review.
A company official stated, “Following the dismissal of both the provisional injunction seeking confirmation of shareholder status and the injunction seeking to prohibit the convening of the shareholders’ meeting, the agenda items were passed at the actual shareholders’ meeting with approval from nearly 52% of the total issued shares and overwhelming support from more than 80% of the shareholders present,” adding “This is a clear indication that shareholders have chosen the resumption of trading and the normalization of the company over a protracted management dispute.”
The company also expressed concern regarding external forces linked to some minority shareholders, noting that it is investigating the relevant circumstances and considering civil and criminal legal action.
A company official said, “While certain groups are citing the protection of minority shareholders as a pretext, we are seriously concerned that they may be colluding with individuals whose shareholder status has not been verified to undermine the company’s normalization process and attempt to improperly interfere with management control or company assets by taking advantage of the trading resumption process.”
The spokesperson continued, “We are concerned that some minority shareholders are aligning themselves with these external forces without fully understanding their true nature and interests,” adding, “The company plans to communicate directly with minority shareholders at the appropriate time—and also explain through the media—the true nature of these forces, their interests, the circumstances surrounding their attempts to interfere with the company’s management rights, and the risks this poses to shareholders.”
He added, “What the company needs right now is not a wasteful battle over shareholdings, but rather to respond to the re-audit, improve internal controls, prepare for the stock exchange’s review, and restore competitiveness in its core business,” and concluded, “The company will focus all its efforts on resuming trading and restoring shareholder value while upholding the integrity of the shareholder registry and adhering to lawful decision-making procedures.”
