[Edaily Reporter NA EUN-KYUNG ] #ROKIT HEALTHCARE Inc. announced on the 28th that its U.S. subsidiary, Rokit America (ROKIT AMERICA), has voluntarily withdrawn its application for a listing on the Nasdaq Global Market and plans to resubmit its listing application after increasing its free float ratio.

According to the company, Rokit America completed a review of key items—including business viability, technological capabilities, and internal controls—following the examination of its registration statement (Form S-1). However, it voluntarily withdrew its listing application in response to Nasdaq’s feedback that the free float ratio was expected to be around 10% after the listing, which could lead to increased stock price volatility. The free float refers to the proportion of shares actually tradable on the market, excluding shares held by the largest shareholder and others.

ROKIT HEALTHCARE Inc. explained that it received official notification from Nasdaq on the 27th (Eastern Time) regarding the voluntary withdrawal and was also informed that this decision does not preclude future listing applications.

The company is currently reviewing plans to increase the free-float ratio to 10% or higher after the listing through consultations with relevant authorities and advisors, and plans to pursue the listing of its U.S. subsidiary again after restructuring.

This withdrawal of the listing application comes amid ongoing controversies surrounding ROKIT HEALTHCARE Inc. Recently, during the announcement of a collaboration with a U.S. artificial intelligence (AI) company, questions were raised regarding the identity and business operations of the partner company, and the market has continued to demand verification of certain technology and business-related disclosures and promotional materials. These controversies have led to increased stock price volatility, heightening investor concerns.

ROKIT HEALTHCARE Inc. stated, “We are continuing to pursue the listing of our U.S. subsidiary, and we will promptly and transparently inform investors as soon as the detailed listing plan is finalized.”
