[Edaily Reporter Shin Ha-yeon ] Medical device specialist Bistos Co., Ltd.(419540)is set to purchase additional treasury shares, following the completion of a 2 billion won treasury share buyback. The move is intended to proactively address the strengthened KOSDAQ market’s market capitalization requirements for maintaining listing status and to enhance shareholder value.
Bistos Co., Ltd. announced on the 14th that it has signed a trust agreement with KB Securities for the acquisition of 1 billion won worth of treasury stock. Based on the contract price of 3,190 won at the time of signing, the number of shares expected to be acquired under this agreement is approximately 313,480, representing about 6.8% of the total issued shares. The contract period is six months starting today, and the actual number of shares acquired and the price may vary depending on future stock price fluctuations.
Previously, Bistos Co., Ltd. had fully completed an existing 2 billion won treasury stock purchase agreement. Through this additional agreement, the company plans to continue its policies aimed at stabilizing the stock price and enhancing shareholder value.
In particular, the company cited the need to comply with the KOSDAQ market’s recently strengthened market capitalization requirements for maintaining listing status as a key reason for this share buyback. Following the Korea Exchange’s tightening of delisting criteria, the KOSDAQ market capitalization threshold was raised to 20 billion won starting this July and is scheduled to be further increased in stages.
A company official stated, “We are making every effort to defend our stock price and manage our market capitalization by mobilizing all available means, including the purchase of treasury stock, to ensure we do not fall below the market capitalization threshold,” adding, “This trust agreement is also part of our proactive measures to stably maintain our market capitalization above the relevant threshold.”
The spokesperson added, “We will steadfastly continue multifaceted efforts, such as share buybacks and improving our financial structure, to ensure that our market capitalization consistently exceeds the listing maintenance criteria going forward.”
The company is also working to secure new growth drivers. Bistos Co., Ltd. is reviewing plans to launch new product lines linked to its existing businesses and explore new business opportunities, while also pursuing initiatives to strengthen its financial fundamentals.
A Bistos Co., Ltd. official said, “We will continue to implement plans to stabilize the stock price and enhance shareholder value until the new business model and fundamental improvements are completed.”
In the medium to long term, the company plans to increase its corporate value by simultaneously securing growth drivers through new business models and improving its financial structure, while also maintaining ongoing communication with investors regarding the current status of market capitalization management and future response plans.
