OA Co., Ltd. Secures 30 Billion Investment from Toss… to Expand New Business Ventures

This capital raise is intended to fund the expansion of new business ventures based on a strategic business partnership.

According to the Financial Supervisory Service’s electronic disclosure system on the 17th, OA Co., Ltd. has decided to conduct a capital increase by issuing 647,752 common shares through a third-party allocation. The issue price per share is 46,314 won, with a total amount raised of 29,999,999,6128 won.

Viva Republica is the sole participant in this capital increase. OA Co., Ltd. explained that, in selecting the third-party allottee, it considered factors such as the investor’s ability to pay the subscription price, in order to achieve its business objectives.

In particular, the two companies plan to use this investment as an opportunity to pursue business collaboration based on a strategic partnership and to expand into new business areas. The entire 30 billion won raised will be used as working capital, with 15 billion won to be invested in 2026 and another 15 billion won in 2027. Specifically, the funds will be used to pursue new businesses resulting from the strategic partnership and to cover related operating expenses.

Prior to the capital increase, OA Co., Ltd. had a total of 28,068,746 shares outstanding. With the issuance of 647,752 new shares, the total number of outstanding shares will increase to 28,716,498. The payment date is October 8, and the ex-dividend date for the new shares has been set for January 1, 2026.

OA Co., Ltd. operates primarily in online e-commerce and offline fresh food markets. As of the end of last year, the total assets of its subsidiary amounted to 257 billion won, making it a major subsidiary accounting for 81.25% of the parent company’s consolidated total assets of 316.3 billion won.

This paid-in capital increase is noteworthy as it signifies an expansion of business cooperation between Viva Republica and OA Co., Ltd. The disclosure did not reveal specific details regarding the new businesses the two companies plan to pursue or the investment scale for each business.
