JK Synapse to Propose a Resolution to Transfer 100 Billion Won to Reserves at Extraordinary General Meeting

[Edaily Kwon Oh Seok Reporter] KOSDAQ-listed company Sonid(060230)announced on the 17th that it will propose amendments to its articles of incorporation at an extraordinary shareholders’ meeting scheduled for October 2 to reduce capital reserves and strategically utilize treasury stock. The company plans to use this measure to secure financial soundness and lay the groundwork for expanded shareholder returns.

First, through Agenda Item No. 3, “A Proposal to Cover Accumulated Deficits and Transfer Capital Reserve to Retained Earnings,” the company plans to reduce its capital reserve by 100 billion won and transfer the amount to retained earnings. Based on the 2025 year-end financial statements, JK Synapse’s transferable amount (the portion exceeding 1.5 times the capital stock) totals approximately 130.9 billion won; of this, 100 billion won will be used to fully eliminate the accumulated deficit of approximately 51.6 billion won currently on the books.
Through this measure, the company not only plans to completely eliminate its accumulated losses but also intends to use the remaining funds as capital for future shareholder return policies, such as dividends and treasury stock purchases. In particular, if dividends are paid through a reduction in the capital reserve, the company will meet the requirements for shareholders to receive tax-exempt benefits.
In addition, the company will propose Agenda Item No. 2-2, “Amendment to the Articles of Incorporation in Accordance with the Revision of the Commercial Act,” to significantly strengthen shareholders’ rights and tangible benefits regarding the management of treasury stock. By amending the existing provisions—which were limited to “share cancellation”—the company has enhanced transparency by requiring that any strategic management of treasury stock in the future must undergo “prior approval at the annual general meeting of shareholders.” The company has also clarified institutional mechanisms that allow for the use of treasury stock for diverse purposes, such as equal allocation to shareholders or securing top talent, with the aim of enhancing shareholder returns and corporate value.
If the agenda items for this shareholders’ meeting are approved, JK Synapse will successfully complete the “capital rebalancing (restructuring)” process it has been pursuing to strengthen its financial soundness. A company official explained, “Since last year, we have been improving stock liquidity and our financial foundation by successively implementing capital structure optimization, as well as stock splits and mergers,” adding, “Following the large-scale capital increase last July through our largest shareholder, Hyulim ROBOT Co.,Ltd., this transfer of 100 billion won in retained earnings and the amendment to the articles of incorporation will mark the final step in our financial restructuring.”
