The new shares are scheduled to be listed on October 8. With this payment, B2En has secured approximately a 27.7% stake, becoming the largest shareholder. Including shares held by related parties, its total stake amounts to 44.36%. Having secured the position of largest shareholder, B2En will begin a full-scale overhaul of the management structure. NC& Co., Ltd. plans to hold an extraordinary general meeting of shareholders on October 30 to vote on proposals including partial amendments to the articles of incorporation and the appointment of directors and auditors. NC& Co., Ltd. is a company engaged in the automotive video equipment business, including dashcams, and as of the end of June this year, it held approximately a 23% stake in NEXTCHIP Co., Ltd., a company specializing in automotive image recognition semiconductors. B2En plans to use this acquisition as a springboard to create synergies with the future mobility industry, extending into the automotive video and semiconductor sectors. In particular, the company intends to actively expand its existing AI (artificial intelligence) and data-centric business portfolio into the mobility sector. While strengthening NC& Co., Ltd.’s existing business competitiveness, B2N will combine its own data management, quality control, and AI technologies with NC& Co., Ltd.’s video business infrastructure to gradually roll out next-generation business models. A B2En official stated, “This acquisition is a strategic decision to extend our accumulated AI and data capabilities into new industrial sectors,” adding, “We will not stop at mere territorial expansion; instead, we will identify synergy opportunities that combine the strengths of both companies to enhance corporate value over the medium to long term and demonstrate tangible results.”
