[Edaily Reporter Kim Ji-woo ] Kim Dong-seon, President of Future Strategy at #Hanwha Machinery & Service Holdings (Hanwha M&S), is launching a tender offer for the company’s shares by investing approximately 128.5 billion won of his personal funds. The move aims to strengthen responsible management and enhance shareholder value in response to shareholders’ concerns over the falling stock price and the company’s future growth prospects. If he acquires the entire planned volume through this tender offer, President Kim is expected to become the largest shareholder.

Hanwha M&S announced that President Kim will conduct a tender offer for 16.06 million common shares over a 22-day period, from the 12th to the 2nd of next month. This represents approximately 19% of the total common shares.

If President Kim secures the entire planned volume through the tender offer, his stake in common stock will rise from the current 5.81% to 24.81%. Consequently, he will surpass Hanwha Energy (23.94%), the current largest shareholder, to become the single largest shareholder.

The tender offer price is 8,000 won per share, which is approximately 32% higher than the closing price of 6,080 won on the previous trading day, the 8th. It also represents a 27% premium compared to the average share price of approximately 6,300 won over the past month. The total funds allocated for the tender offer amount to 128.5 billion won, which President Kim plans to cover with his personal funds.

This tender offer was initiated to enhance shareholder value and strengthen responsible management. In particular, it was influenced by concerns raised by shareholders at the first extraordinary general meeting held last month regarding the falling stock price and the company’s future growth potential.

President Kim’s decision to launch this tender offer is seen as a demonstration of his confidence in the growth potential of Hanwha Group’s TechL & Life division. He plans to continue pursuing a wide range of measures to maximize shareholder value and strengthen responsible management.

According to the Korea Exchange, as of 9:55 a.m. today, Hanwha M&S is trading at 7,495 won, up 23.27% from the previous trading day.

A Hanwha M&S official stated, “There is an aspect where the growth potential of Hanwha Group’s TechL & Life division has not been fully reflected in the stock price,” adding, “We expect President Kim’s tender offer to serve as a positive signal to the market and shareholders, thereby enhancing shareholder value and corporate value.”

Meanwhile, Hanwha M&S is a holding company established last August through the spin-off of Hanwha Group’s Tech and Life divisions, and it was listed on the KOSPI that same month. The Tech division includes Hanwha Vision, Hanwha Semitek, Hanwha Momentum, and Hanwha Robotics, while the Life division includes HANWHA GALLERIA, Hanwha Hotels & Resorts, and Ourhome.

The group comprises a total of 56 subsidiaries, including overseas affiliates, and as of the end of last year, reported consolidated revenue of approximately 6 trillion won and total assets of 11.3 trillion won. Hanwha M&S plans to accelerate efforts to identify new business opportunities through collaboration among affiliates and to implement growth strategies tailored to each business segment.
