HWAIL PHARM. CO., LTD announced on the 5th that it plans to hold an extraordinary general meeting of shareholders on the 20th in Pyeongtaek, Gyeonggi Province, to vote on the appointment of directors and auditors, as well as amendments to the articles of incorporation.

The proposed amendments to the articles of incorporation include the wholesale and retail of semiconductor devices, integrated circuits (ICs), and electronic components; the import, export, and distribution of semiconductor chips; the provision of AI data and information; and the research and development of AI solutions.

In addition, the manufacture of inorganic chemicals, metal oxides, paints, and organic mixed solvents will be added to the company’s business objectives. The operation of hot springs, saunas, and spas, as well as the operation of hotels, resorts, and vacation condominiums, and the development of tourist complexes and real estate, are also included in the new business objectives.

HWAIL PHARM. CO., LTD plans to appoint two inside directors, two independent directors, and one full-time auditor at this extraordinary general meeting.

The candidates for inside directors are Lee Heon, Chairman of the Board at Dynamic solution, and Yoo Cheol-ho, Vice President of the Strategic Planning Division at Dynamic solution. The candidates for independent directors are Jay Y. Lee, Managing Partner at Gwanghwamun Law Firm, and Jeong Jae-yoon, Director and Chief Physician at Oaro Dermatology Clinic. Ko Jun-mo, Managing Partner at Gian Accounting Firm, has been nominated as the candidate for full-time auditor.

The proposed amendments to the articles of incorporation and the agenda items regarding the appointment of directors and auditors will be finalized at the extraordinary general meeting of shareholders on the 20th.
