A term sheet is a document that defines and agrees upon the key terms of a transaction prior to signing the main contract; the fact that the two companies have signed a term sheet means that an agreement on the broad framework of the transaction has been finalized, signaling that the signing of the main contract is imminent. The company explained that this Term Sheet signing follows SAM CHUN DANG PHARM CO. LTD’s collaboration agreement in the first quarter for a long-acting injectable formulation of the prostate cancer treatment “Leuprorelin,” and is significant in that it expands the scope of cooperation between the two companies into the field of highly complex formulations. The target products are two types: the liposome-based antifungal agent amphotericin B and the anticancer drug irinotecan. Liposome formulations are a type of drug delivery system (DDS) that encapsulates drugs within a lipid membrane structure to enhance delivery efficiency in the body; this field is considered to have high barriers to entry due to the complexity of its manufacturing processes and quality control. In particular, SAM CHUN DANG PHARM CO. LTD emphasized that through this collaboration, it plans to supply long-acting injectable and combination formulation technology platforms and products, while DRL will handle commercialization and sales by leveraging its global production infrastructure and commercialization network; the company anticipates synergies resulting from the combination of both companies’ core competencies. SAM CHUN DANG PHARM CO. LTD is fostering its oral platform (S-PASS), long-acting injectables (LAI), and ophthalmic biosimilars as its next-generation growth engines, while continuing to expand strategic collaborations with global partners. The company explained that this collaboration in the liposome field is also an extension of its strategy to expand these global partnerships. SAM CHUN DANG PHARM CO. LTD official stated, “As the scope of our collaboration has expanded from leuprolide to liposomes, we are also reviewing the possibility of collaboration on additional pipeline projects,” adding, “We will strive to secure mid- to long-term growth potential through the gradual expansion of our collaboration.” Meanwhile, SAM CHUN DANG PHARM CO. LTD plans to continue follow-up discussions with DRL with the goal of signing a definitive agreement. Following the signing of the definitive agreement, the company intends to proceed sequentially with technology transfer, production of an exhibit batch for regulatory approval, and global regulatory approval procedures.
