NeoImmuneTech, Inc. announced on the 19th that it had signed an agreement with U.S.-based Tolerance Bio to transfer exclusive development and commercialization rights for NT-I7 for indications related to thymic hypofunction, including immune reconstitution in people living with HIV. The agreement covers North America, South America, Central America, and Europe.

The total value of the technology transfer is $260 million (approximately 366.9 billion won) plus a 4% equity stake in the counterparty. The upfront payment will be received in the form of a 4% stake in Tolerance Bio’s common stock, and the company will receive milestone payments totaling $260 million based on future clinical development and sales achievements. It will also receive separate tiered royalties based on annual net sales.

Notably, key areas currently under development by NeoImmuneTech, Inc.—such as immuno-oncology—are excluded from this agreement, and the company will retain the related rights. This combination of a major technology transfer achievement and the retention of rights to its existing core pipeline is seen as a factor that has boosted investor sentiment.
