Overseas Investment Group Announces Plans for a Tender Offer for Up to 50% of Shares
Questions Raised About the Identity and Financial Strength of Investors… Financial Supervisory Service Keeping a Close Eye
[Edaily Reporter YUN GI BACK ] Amid reports that an overseas investment group has announced plans for a tender offer for up to 50% of JYP Entertainment Inc. (JYP Entertainment Corporation(035900)), JYP has reiterated that it has not received any acquisition proposal. In particular, the company refuted the claims, stating that the email allegedly sent by the investment group was classified as spam and never even reached the company. JYP headquarters. JYP issued an official statement on the 29th, stating, “Even after we announced in a public disclosure on the 27th that we had not received any proposals regarding the acquisition of our shares, we have not received or reviewed any officially valid proposal.” The company continued, “The email reported on the 29th—which the firm in question claimed to have sent to us—was classified as ‘blatant spam’ because it failed to meet the sender’s credibility standards under our security policies,” adding, “We confirmed through our email service provider that it was automatically blocked and never reached us.” Previously, on the 26th, The NEXROC Group—which identifies itself as a Japanese investment group—and SVCV announced that they were considering a tender offer for 25–50% of JYP’s outstanding shares. They stated they were considering an offer that would include a premium of approximately 30% over the reference share price and set a target date of November 20 to commence the tender offer. Following the announcement of the tender offer, JYP’s stock price fluctuated significantly. In after-hours trading on the 26th, it briefly surged to 44,000 won, and on the 28th, it traded at 39,850 won, up 3.64% from the previous trading day. However, the identity of the acquiring entity and its ability to secure funding remain unclear. As of the 29th, it has not been confirmed whether a tender offer filing has been submitted. The Financial Supervisory Service (FSS) views the announcement of the tender offer plan prior to a formal filing as unusual and is closely monitoring the situation for potential irregular trading or regulatory violations. Park Jin-young, JYP’s Chief Creative Officer (CCO), holds a stake of approximately 15.4 percent, which falls short of 16 percent even when including related parties. While the investment group’s actual launch of a tender offer could impact management control, observers note that it is difficult to predict a management control dispute given the uncertainty surrounding the feasibility of the acquisition plan itself.
