According to the company, the Korea Exchange’s notice of designation stems from delays in disclosing the progress and verification of facts regarding past cases of embezzlement and breach of trust.
In response, a company official explained, “The criminal proceedings regarding the breach of trust and embezzlement cases were concluded through a Supreme Court ruling, and the subsequent civil lawsuits were also fully settled through agreements between the parties,” adding, “This matter pertains not to the cases themselves, but to procedural shortcomings in failing to disclose the progress at each stage in a timely manner.”
The official further emphasized, “Our penalty points for non-compliant disclosures over the past year currently stand at zero, so we do not face any cumulative penalty point burden,” adding, “We have also faithfully provided explanations regarding this matter during the exchange’s review process, and it is not an issue that will affect the company’s business operations, contrary to shareholders’ concerns.”
Taking this incident as an opportunity, ENBIOCO., LTD. plans to comprehensively improve its disclosure and compliance management systems. Moving forward, the company intends to prioritize investor and market trust by strengthening transparent disclosure and responsible management.
A company official stated, “We have further enhanced our internal control system by reorganizing the disclosure process and strengthening the reporting structure among relevant departments, such as Legal and Finance,” adding, “We are managing the situation to prevent a recurrence by strengthening our pre-disclosure checks and monitoring systems for matters subject to disclosure.”
