[Edaily Reporter Park Jung-Soo ] Global auto parts manufacturer SNT MOTIV(064960)will merge with its subsidiary, SNT Robotics. SNT MOTIV held a board of directors meeting at its Busan headquarters on the 1st and approved the merger plan with SNT Robotics. Since SNT MOTIV already holds all of SNT Robotics’ outstanding shares, this merger will proceed as a merger without a capital increase, and the merger ratio has been set at 1:0. Furthermore, as the process follows the procedures for small-scale mergers under the Commercial Act, it will be finalized with only board approval—without requiring approval from a shareholders’ meeting—and shareholders opposing the merger will not be granted a right to demand the purchase of their shares. An SNT MOTIV official stated, “We plan to combine SNT MOTIV’s precision manufacturing technologies—including motors, drives, and robotic actuators—with SNT Robotics’ capabilities in developing finished robot products to strengthen our competitiveness in the robotics business on a company-wide basis, improve operational efficiency, and enhance our ability to secure and execute new orders,” adding, “This is expected to contribute to enhancing corporate value and shareholder value in the medium to long term.” Exterior view of SNT MOTIV’s headquarters (Photo: SNT MOTIV)
