[Edaily Reporter JAEMIN SONG ] SamsungElectronics Chairman Jay Y. Lee is set to receive a gift of SamsungElectronics stock worth approximately 2.6 trillion won from his mother, Hong Ra-hee, Honorary Director of the Leeum Museum of Art. Following the sale of SamsungElectronics shares worth approximately 1.9 trillion won last month, this additional gift will increase Chairman Lee’s stake in SamsungElectronics from 1.58% to 1.75%.

(Photo = Yonhap News) According to a SamsungElectronics filing on the 13th, Honorary Director Hong plans to gift 11,158,000 shares of SamsungElectronics common stock she holds to Chairman Lee. This represents approximately 0.17% of SamsungElectronics’ total issued shares and is valued at approximately 2.5886 trillion won based on the day’s closing price of 233,500 won per share.
The scheduled date of the gift is November 12. Once the gift is finalized, Chairman Lee’s total holdings of SamsungElectronics stock—combining common and preferred shares—will increase from the current 105,219,053 shares to 116,377,053 shares. His ownership stake will also rise by 0.17 percentage points, from 1.58% to 1.75%. Conversely, Honorary Director Hong’s ownership stake will decrease from 0.98% to 0.81%.
The estimated gift tax on this transfer is approximately 1.56 trillion won, based on today’s closing price. The actual gift tax will be calculated based on the average stock price over the two months before and after the date of the gift and is expected to be finalized early next year.
This gift is a separate transaction from the recent over-the-counter sale of SamsungElectronics shares. Previously, in September, Honorary Director Hong agreed to sell 7,188,793 shares (0.11%) of SamsungElectronics common stock to Chairman Lee for approximately 1.9374 trillion won in an over-the-counter transaction. At the time, the transaction was believed to be intended to repay loans from financial institutions incurred during the process of paying inheritance tax for the late Lee Kun-Hee, former chairman of Samsung.
The Samsung family completed payment of the approximately 12 trillion won in inheritance tax last May. Following the passing of former Chairman Lee in October 2020, they utilized the installment payment system to pay the inheritance tax in six installments over five years. During this process, they secured the funds for payment through the sale of held shares and loans from financial institutions.
In January of this year, Honorary Director Hong also gifted his entire holding of 1,808,577 shares (1.06%) of SAMSUNG C&T CORPORATION to Chairman Lee. As a result, Chairman Lee’s stake in SAMSUNG C&T CORPORATION rose from 19.93% to 20.99% based on common shares.
As these internal share transfers within the owner family continue, Chairman Lee’s direct ownership stakes in major affiliates are also expanding. However, since this gift of SamsungElectronics shares is an intra-family transaction, there is no change in the total ownership stakes held by the largest shareholder and related parties.
