FINO INC. announced on the 6th that it has decided to conduct a paid-in capital increase by issuing 22,923,702 registered redeemable convertible preferred shares. The issue price per share is 7,983 won, with total proceeds amounting to approximately 183 billion won. The payment date for the subscription price is scheduled for the 27th of this month.
The preferred dividend rate for the RCPS being issued this time is 0.1% per annum, and requests for conversion to common stock will be possible starting November 28, 2027. The conversion ratio is 1:1, and the initial conversion price is 7,983 won per share, the same as the new share issuance price.
Following the completion of this capital increase, the stake held by Zoomwe Hong Kong New Energy Technology—a CNGR affiliate and the company’s largest shareholder—will decrease from the current 24.82% to 19.59%.
FINO INC. plans to allocate the substantial funds raised through this offering primarily toward expanding production capacity (CAPA) for secondary battery materials, such as precursors, and securing overseas bases. Of the total funds, 119.9 billion won will be invested in the construction and establishment of new production facilities at its subsidiary, CNP New Materials Technology, while the remaining 63.1 billion won will be used to acquire securities in other companies, including stakes in overseas subsidiaries.
A FINO INC. official stated, “This fundraising is aimed at improving the fundamentals of our rechargeable battery business and solidifying our growth strategy,” adding, “Based on the funds secured, we will proceed without delay with the construction of production facilities and the acquisition of stakes in overseas subsidiaries to maximize our corporate value over the medium to long term.”
