Continuing Aggressive Shareholder Return Policy Following the Stock Split

On the 27th, TOVIS Co., LTD announced that it plans to maintain its existing shareholder return framework and continue its aggressive shareholder return policy even after launching an independent management system through a spin-off.
In accordance with the “Three-Year Shareholder Return Policy” announced at the end of last year, the company plans to allocate approximately 30% of its standalone net income from 2026 to 2028 toward shareholder returns. Of this amount, 20% will be allocated to the repurchase and cancellation of treasury stock, and 10% to cash dividends.
Previously, in January, TOVIS Co., LTD canceled all 779,797 shares of treasury stock it held, valued at 8.26 billion won. Subsequently, the company acquired an additional 2 billion won worth of treasury stock on the open market and canceled all of it in February. As a result, the total value of treasury stock canceled from late last year through early this year reached 10.26 billion won.
The company has also continued its trend of increasing cash dividends. At its annual general meeting of shareholders in March, TOVIS Co., LTD announced a cash dividend of 350 won per common share—totaling 5.27 billion won—for the 2025 fiscal year. The dividend per share has steadily increased, rising from 160 won in 2023 to 300 won in 2024 and reaching 350 won in 2025.
Through this spin-off, TOVIS Co., LTD separated its automotive display business into a new subsidiary, “NeoView,” and established an independent management structure focused on its casino and industrial display businesses. The additional repurchase and cancellation of treasury stock, which was temporarily suspended during the spin-off process, is scheduled to resume in the third quarter.
The company plans to continue implementing its existing shareholder return policy without interruption following the launch of the independent management structure to ensure policy continuity and maintain market confidence.
A TOVIS Co., LTD official stated, “The spin-off was a decision made to enhance business expertise and management efficiency, and there is no change in the overall direction of our shareholder return policy,” adding, “Under the independent management structure, we will strengthen profitability and competitiveness and continue to enhance shareholder value through stable dividends and the cancellation of treasury shares.” Trading in the shares of TOVIS Co., LTD and the newly established company, NeoView, resumed today following the procedures for a change of listing and relisting.
