[Edaily Reporter An Yu-ri ] Kakao Games Corp.(293490)has decided to reduce its capital reserve to implement a shareholder return plan worth approximately 1.54 trillion won. In addition, executives, including Co-CEOs Kim Tae-hwan and Lee Si-woo, purchased company shares totaling approximately 500 million won.



On the 24th, Kakao Games Corp. held an extraordinary general meeting of shareholders at the Kakao AI Campus in Yongin, Gyeonggi Province, and passed resolutions on matters including “Approval of the Plan for the Holding and Disposal of Treasury Stock” and “Coverage of Deficits and Transfer of Capital Reserves to Retained Earnings.”

This is part of a long-term shareholder return plan following the company’s cancellation of 500,000 treasury shares last July, and all proposals were approved at this extraordinary general meeting.

Kakao Games Corp. plans to utilize the approximately 350,000 shares of treasury stock remaining after the cancellation to introduce a Restricted Stock Unit (RSU) program for employees, using these shares as funding for the program.

The RSU program is designed to link employee compensation with the company’s sustained growth and enhanced shareholder value by establishing vesting requirements centered on performance conditions tied to mid- to long-term business performance, corporate value, and shareholder value. The company plans to finalize the details of the stock-based performance compensation program through the Board of Directors in the future.

In addition, the company will reduce its capital reserve—amounting to approximately 1.54 trillion won—and transfer the funds to retained earnings to use as a source of funding for implementing its mid- to long-term shareholder return policy.

Furthermore, Co-CEOs Kim Tae-hwan and Lee Si-woo, along with CFO Shin Kwon-ho, plan to purchase a total of approximately 500 million won worth of treasury stock, continuing to practice shareholder-centric, responsible management.

Lee Si-woo, CEO of Kakao Games Corp., stated, “We will strive for the simultaneous growth of shareholder value and corporate value while continuing to implement our shareholder return policy from a medium- to long-term perspective.”
