VUNO, Inc. Decides on 31.4 Billion Won Capital Increase… "Aimed at Alleviating Interest Burden"

[Edaily Reporter KIM SUNG-JIN ] VUNO, Inc.(338220)announced on the 28th that it has decided to conduct a rights offering worth 31.4 billion won.

VUNO, Inc. plans to issue 6.3 million new common shares at 4,980 won per share (planned price), and the funds raised will be used for the early redemption of its third series of perpetual convertible bonds and for growth investments. VUNO, Inc. previously announced on the 26th that it had fully repaid the principal and interest of its Series 2 Perpetual Convertible Bonds—totaling approximately 9.3 billion won—using its cash reserves.

Lee Ye-ha, CEO and Executive Officer of VUNO, Inc., stated, “Since the interest rate on the Series 3 Perpetual Convertible Bonds will increase in stages starting from the interest rate adjustment date in December 2026, we determined that taking preemptive action before that date arrives was the optimal course of action,” and “As a result, we determined that a public rights offering—which allows us to directly expand our capital and strengthen our financial structure without the burden of potential interest or repayment obligations—was the most reasonable choice,” she said.

CEO Lee said, “Before requesting shareholders’ participation in the rights offering, we redesigned our work processes through an enterprise-wide digital transformation (DX),” adding, “We made a full early repayment of approximately 9.3 billion won in principal and interest on the second series of perpetual convertible bonds on the 26th.”

He continued, “We intend to use the funds raised through this public rights offering primarily for the early redemption of the third series of perpetual convertible bonds to eliminate the interest burden and potential dilution factors,” and added, “The remaining funds will be used as working capital for business expansion, including research and development expenses, sales and marketing expenses, and operating costs for overseas subsidiaries.”

VUNO, Inc. plans to hold a shareholders’ meeting on September 4 to directly explain specific details, such as the subscription schedule and how to participate.
