The plan is for the two co-chairs to jointly coordinate major decision-making until the spin-off is complete, thereby enhancing continuity and execution capabilities at the group level.

Kakao Group announced on the 28th that it held a group council meeting and, following a resolution by the CEOs of its affiliate companies, confirmed Kim Do-young, CEO-designate of Kakao X, as co-chair of the CA Council. Kim will lead the CA Council alongside Chairwoman Jeong Shin-ah.

The CA Council serves as a control tower, coordinating business and strategic matters between Kakao and its major affiliates while managing group-wide decision-making and aligning interests.

This transition to a co-chair system is a measure intended to ensure continuity in key decision-making and enhance organizational stability ahead of the corporate spin-off into Kakao AI and Kakao X. The two co-chairs will jointly coordinate major decisions until the spin-off is completed.

“Dual Leadership” for Decision-Making Ahead of the Spin-Off

To prepare for the spin-off, Kakao has formed a dedicated task force (TF) involving key departments such as technology, finance, and human resources to systematically review operational tasks. The company is also holding in-person briefings for employees and operating an ongoing Q&A channel.

A Kakao official stated, “This co-chair system is intended to ensure group-wide continuity and systematic execution during this critical transition period leading up to the spin-off,” adding, “We will meticulously manage the spin-off preparation process centered on sector-specific task forces and do our utmost to ensure a stable transition.”

Meanwhile, along with the corporate spin-off, Kakao plans to effectively dissolve group-wide joint organizations such as the existing CA Council. When the spin-off was announced last August, Mr. Kim, the nominee, stated, “Since the business objectives of the two companies differ, they will pursue independent management,” adding, “Joint organizations such as the existing CA Council are no longer necessary.” However, he explained that business cooperation between the KakaoTalk platform and affiliated companies will continue as before.
